Circle is offering 2,000,000 shares of Class A common stock and the selling stockholders are offering 8,000,000 shares of Class A common stock. In connection with the offering, Circle has granted the underwriters a 30-day option to purchase up to an additional 1,500,000 shares of Class A common stock.

The closing of the offering is expected to occur on August 18, 2025, subject to the satisfaction of customary closing conditions.
