OSS Announces Pricing of $12.5 Million Registered Direct Offering of Common Stock

(“OSS” or the “Company”) (Nasdaq: OSS), a leader in rugged Enterprise Class compute for artificial intelligence (AI), machine learning (ML) and sensor processing at the edge, today announced that it has entered into securities purchase agreements with certain new and existing institutional investors for the purchase and sale of 2,500,000 shares of common stock at a purchase price of $5.00 per share, pursuant to a registered direct offering, resulting in gross proceeds of approximately $12.5 million, before deducting placement agent commissions and other offering expenses. The closing of the offering is expected to occur on or about October 1, 2025, subject to the satisfaction of customary closing conditions. The Company intends to use the net proceeds from the offering for growth strategy advancement, working capital to support expected growing sales within core OSS segment and business acceleration, with a focus on mergers and acquisitions and overall expansion both domestically and internationally.
