An application will be made for the Notes to be admitted to trading on The International Stock Exchange. The offering of the Notes is subject to customary closing conditions, and settlement is expected to occur on or around June 4, 2025. Flutter today also announced that it has priced its new U.S. dollar-denominated term loan B facility (the "Third Incremental TLB Facility"). The proceeds from the Offering and the Third Incremental TLB Facility are expected to be utilized (i) to repay all amounts due under the bridge facility, which has been used by Flutter, in part, to fund the acquisition of Snaitech S.p.A., (ii) for general corporate purposes and (iii) to pay certain costs, fees and expenses in connection with the foregoing transactions.
