Gross proceeds, before deducting placement agent fees and other offering expenses, are expected to be approximately $7.14 million. The Offering is expected to close on April 10, 2025, subject to customary closing conditions. Revere Securities LLC is acting as exclusive placement agent in connection with the Offering. Ortoli Rosenstadt LLP is acting as counsel to the Company regarding U.S. securities law matters. Hunter Taubman Fischer & Li LLC is acting as U.S. securities counsel for the placement agent.
