The aggregate gross proceeds from the registered direct offering (“Offering”) are expected to be $76.5 million. The closing of the Offering is expected to occur on or about Friday, October 17, 2025, subject to satisfaction of customary closing conditions. In addition, accompanying its purchase of Shares, the Investor has been granted a 90-day premium purchase contract, expiring on January 15, 2026, to purchase up to an additional 4.5 million shares of common stock at an exercise price of $17.50 per share (the “PPC”), representing a 19% premium to the Closing Share Price.
