The purchase price of the Class A Ordinary Shares is $3.65 per share. The purchase price of the Pre-Funded Warrants in lieu thereof is $3.6499 per Pre-Funded Warrant.  The Offering is expected to close on or about August 1, 2025, subject to the satisfaction of customary closing conditions. D. Boral Capital LLC is acting as the exclusive placement agent for the Offering.
