(NYSE American: HUSA) (the “Company”), an independent oil and gas company. Under the terms of the securities purchase agreement, the Company has agreed to sell to an institutional investor (the “SPA”) for the purchase and sale of an aggregate of 223,762 shares of common stock (or pre-funded warrants in lieu thereof) at a purchase price of $10.60 per share (or pre-funded warrant in lieu thereof) in a registered direct offering. The aggregate gross proceeds to the Company of this offering were approximately $2.37 million, before deducting the placement agent's fees and other offering expenses payable by the Company.
